According to these good governance recommendations, <strong>88.6 percent of IBEX companies mention corporate reputation<\/strong> in their Boards of Directors\u2019 Rules and Regulations in relation to the proper conduct of board members. Boards are primarily concerned with <strong>board members\u2019 behavior <\/strong>of companies state they have rules in place that compel board members to report and resign in cases in which their membership may jeopardize the company\u2019s standing and reputation.<\/p>\n<p>Recommendation No. 53 in the Code of Good Governance places reputation among the company\u2019s non-financial risks. It goes on to say reputation <strong>must be evaluated by the board through its commissions<\/strong> (Auditing, Appointments or CSR).<\/p>\n<p>In terms of management tools, <a href=\"https:\/\/www.coso.org\/Pages\/default.aspx\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>COSO<\/strong><\/a><strong> (Committee of Sponsoring Organizations of the Treadway Comission)\u00a0has established itself as the frame of reference.<\/strong><\/p>\n<p>[\/et_pb_text][et_pb_text admin_label=&#8221;WHAT IS REPUTATIONAL RISK?&#8221; _builder_version=&#8221;3.1.1&#8243;]<\/p>\n<h1>What is reputational risk?<\/h1>\n<p>[\/et_pb_text][et_pb_text _builder_version=&#8221;3.1.1&#8243;]<\/p>\n<p>As a first conclusion, we can say <strong>IBEX 35 companies have fully incorporated reputational risk management. <\/strong>Many IBEX 35 companies use one of three main definitions:<\/p>\n<ul>\n<li><strong>Reputational risk as compliance risk.<\/strong> Almost a third of companies define reputational risk in terms of compliance.<\/li>\n<li><strong>Reputational risk as a byproduct of operational risk. <\/strong>Around 25 percent of IBEX 35 companies define this type of risk in terms of operational risks.<\/li>\n<li><strong>Reputational risk as strategic risk, in relation to managing stakeholder confidence.<\/strong> Some 46 percent of companies (mainly financial) define reputational risk as \u201cenvironment risk,\u201d referring to external factors or events related to the political and social environment.<\/li>\n<\/ul>\n<p>[\/et_pb_text][et_pb_image admin_label=&#8221;Grafica web&#8221; _builder_version=&#8221;3.1.1&#8243; disabled=&#8221;off&#8221; disabled_on=&#8221;on|on|&#8221; src=&#8221;https:\/\/ideasen.llorenteycuenca.com\/wp-content\/uploads\/sites\/6\/2019\/10\/grafico1_web_ENG.jpg&#8221; \/][et_pb_image admin_label=&#8221;Grafica movil&#8221; _builder_version=&#8221;3.1.1&#8243; disabled=&#8221;off&#8221; disabled_on=&#8221;|on|on&#8221; src=&#8221;https:\/\/ideasen.llorenteycuenca.com\/wp-content\/uploads\/sites\/6\/2019\/10\/grafico1_movil_ENG.jpg&#8221; \/][et_pb_text _builder_version=&#8221;3.1.1&#8243;]<\/p>\n<p>Financial companies are those developing a more advanced concept of reputational risk, given the specific good governance guidelines defined by the European Banking Authority (EBA). It also suggests possible causes of reputational risk, establishing many of them in the area of social beliefs and expectations. Therefore, according to the EBA,\u00a0<strong>reputational risk must be reflected by strategic risk markers rather than operational or legal ones.<\/strong><\/p>\n<p>[\/et_pb_text][et_pb_text admin_label=&#8221;Reputational risk management trends&#8221; _builder_version=&#8221;3.1.1&#8243;]<\/p>\n<h1>Reputational risk management trends<\/h1>\n<p>[\/et_pb_text][et_pb_text _builder_version=&#8221;3.1.1&#8243;]<\/p>\n<p>In our opinion, the EBA\u2019s proposed strategic vision for reputational risk is more in line with <strong>the new VUCA <\/strong>(volatile, uncertain, complex and ambiguous) <strong>business environment<\/strong>.<\/p>\n<p>This paradigm change, has undoubtedly caused drastic changes throughout the social ecosystem on the level of shared beliefs. It is important to highlight the emergence of new reputational risks, such as:<\/p>\n<ul>\n<li><strong>Activist causes<\/strong>, such as the integration of diversity, protection of the planet and animal rights.<\/li>\n<li><strong>Risk by association.<\/strong> New models of competition multiply reputational risks by association.<\/li>\n<li><strong>Cyber risks. <\/strong>Digitalization permits models with large-scale impacts on shared beliefs.<\/li>\n<li><strong>New ethical dilemmas. <\/strong>The digitalization of society and the economy is accompanied by new ethical dilemmas.<\/li>\n<li>The absence of a long-term <strong>corporate purpose<\/strong> or vision to explain how companies intend to distribute value among their various stakeholders.<\/li>\n<\/ul>\n<p>[\/et_pb_text][et_pb_text admin_label=&#8221;cita&#8221; _builder_version=&#8221;3.1.1&#8243; custom_margin=&#8221;60px|60px|60px|60px&#8221; custom_padding=&#8221;30px|30px|30px|30px&#8221; background_color=&#8221;#e6eef4&#8243;]<\/p>\n<h2 style=\"text-align: center;\">&#8220;IBEX 35 companies have fully incorporated reputational risk management&#8221;<\/h2>\n<p>[\/et_pb_text][et_pb_text _builder_version=&#8221;3.1.1&#8243;]<\/p>\n<p>But it is not only the emergence of new kinds of reputational risks that is new; their impact as a consequence of emerging stakeholder behaviors is new as well. They form what we call \u201cnew reputational syndromes,\u201d and they include:<\/p>\n<ul>\n<li>The<strong> anesthesia effect<\/strong>. This is a result of a tired society. This effect consists of an apparently lower impact from risk in the short term in consumer and\/or investor behavior, although its effects materialize over the long term.<\/li>\n<li><strong>Structural distrust and hypertransparency.<\/strong> In the 21<sup>st<\/sup> century, humans are becoming accustomed to living in low-trust environments. The disappearance of trust encourages the growing use of surveillance and control systems. One of the most punished reputational <em>faux pas<\/em> at present is \u201ccorporate falsehood\u201d or the concealment of relevant information.<\/li>\n<li><strong>Transfer of responsibility.<\/strong> Since the start of the economic crisis, social unrest and subsequent legal responsibility has been shifting from corporations to their managers.<\/li>\n<\/ul>\n<p>[\/et_pb_text][et_pb_text admin_label=&#8221;FROM COMPLIANCE TO REPUTATION&#8221; _builder_version=&#8221;3.1.1&#8243;]<\/p>\n<h1>From compliance to reputation<\/h1>\n<p>[\/et_pb_text][et_pb_text _builder_version=&#8221;3.1.1&#8243;]<\/p>\n<p><strong>\u00a0<\/strong>In light of these trends, we have to ask: Are IBEX 35 companies really prepared to anticipate today\u2019s many new reputational challenges? In our opinion, <strong>many large companies still understand reputational risk as solely the reputational impact of their operational risks. <\/strong>Consequently, the challenge lies in <strong>moving from compliance to more integral corporate reputation management,<\/strong> going beyond compliance with good governance recommendations and allowing companies to <strong>anticipate new challenges<\/strong> to their reputations, especially those that affect large public companies.<\/p>\n<p>Based on the reputational risk management and corporate empathy model we promote at LLYC, we propose the following recommendations:<\/p>\n<ul>\n<li><strong>Sufficient risk understanding. <\/strong>It is necessary to broaden the focus of listening and analysis beyond the traditional model.<\/li>\n<li><strong>Focus on the proper diagnosis of beliefs and expectations <\/strong>(emotions and attitudes). These are the basis of trust and, therefore, are a critical point of reference for reputational risk management.
